Terms of Service

1. Acceptance of Terms
By accessing, registering for, or using BevSync ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.
You must be at least 18 years of age — or the legal drinking age in your jurisdiction if higher — to create an account and manage bar or restaurant operations through BevSync. By registering, you represent that you meet this age requirement and have the authority to bind the organization on whose behalf you are creating the account.
2. Definitions
- "Service" means the BevSync web application, APIs, and all related features available at bevsync.net, including any updates or modifications.
- "Organization" means the business entity (bar, restaurant, or bar group) registered on the platform. Each Organization has its own data, team members, and subscription.
- "User" means any individual who creates an account or is invited to access the Service under an Organization.
- "Location" means a physical bar or restaurant venue managed within an Organization.
- "Shared Catalog" means the platform-wide database of beverage brands, products, distributors, and wholesale pricing maintained by BevSync and shared across all Organizations.
- "Content" means any data, text, files, or other materials uploaded, entered, or generated through use of the Service.
- "Subscription" means the plan tier (Free, Starter, Professional, or Enterprise) that governs an Organization's access to features, usage limits, and data retention.
3. Account Registration
To use the Service, you must register for an account by providing accurate and complete information, including your name, email address, and organization details. You are responsible for keeping this information up to date.
Each individual may hold only one personal account. You may not create multiple accounts for the same person. However, a single User may belong to multiple Organizations (for example, a consultant managing several bar groups).
The Organization Owner is responsible for the actions of all Users within their Organization, including ensuring team members comply with these Terms. Owners manage team access through role-based permissions (Owner, Manager, Bartender, Accountant, Viewer) and are responsible for removing access when team members leave.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@bevsync.net if you suspect unauthorized access.
4. Description of Service
BevSync is a business-to-business (B2B) software-as-a-service (SaaS) platform designed for bars, restaurants, and hospitality businesses. The Service is provided on a subscription basis and includes the following capabilities:
- Inventory management — physical and perpetual counts, variance analysis, storage area management, and receiving/delivery tracking
- Product catalog — manage beverage products with categories, tiers, bottle sizes, and pricing
- Pour cost optimization — track cost-per-pour, menu pricing, markup targets, and serving prices
- Recipe management — cocktail builder with ingredient costs and margin calculations
- Distributor comparison — compare wholesale pricing across distributors using the Shared Catalog
- Brand deal management — track rebates, depletion allowances, marketing support, and volume commitments
- POS integration — connect Toast, Square, Clover, Aloha (NCR), or Omnivore (Micros) for sales data synchronization
- Purchase order management with line-item tracking
- Waste logging with approval workflows
- Reporting — pour cost analysis, variance reports, brand deal summaries, inventory valuation, and more (PDF, Excel, or CSV)
- Multi-location management with location-scoped data and role-based permissions
- Dashboard and analytics with savings opportunities and performance insights
- Data import (CSV/XLSX) and export (JSON/CSV)
- In-app and email notifications
Feature availability varies by Subscription plan. BevSync may add, modify, or discontinue features with reasonable notice.
5. Subscription Plans & Billing
The Service is offered across four subscription tiers:

Subscription management is currently handled internally by BevSync. No third-party payment processor is integrated at this time. When payment processing is introduced, these Terms will be updated with at least 30 days' notice to reflect billing cycle, auto-renewal, and payment method terms.
If you wish to cancel your Subscription, a 30-day grace period applies. During this period, your data is retained and your account remains accessible. You may reactivate your Subscription at any time during the grace period. After the grace period ends, your Organization is permanently cancelled. Alternatively, you may downgrade to the Free plan instead of cancelling.
6. Free Plan Terms
The Free plan is available at no cost with no time limit. It includes basic inventory tracking and a basic dashboard for one location, up to 25 products, and 2 team members, with 30 days of history retention.
BevSync reserves the right to modify Free plan features or limits with reasonable notice. If changes would materially reduce Free plan functionality, we will provide at least 30 days' advance notice via email.
7. Trial Terms
New Organizations may be eligible for a 14-day free trial of the Professional plan. No credit card is required to start a trial.
When the trial period ends, your Organization will automatically downgrade to the Free plan unless you subscribe to a paid plan before the trial expires. No data is deleted upon downgrade, but access to features and products beyond Free plan limits will be restricted. Trial eligibility, duration, and the plan tier offered may vary and are determined at BevSync's discretion.
8. Data Ownership & Intellectual Property
Your data. All data entered or generated within your Organization's account belongs to your Organization. This includes products, recipes, serving prices, brand deals, inventory sessions, purchase orders, waste logs, POS configurations, mapped sales data, location details, and team member rosters.
BevSync's intellectual property. The Service — including its software, design, features, documentation, and the Shared Catalog — is owned by BevSync and protected by applicable copyright, trademark, and other intellectual property laws.
License grant. By using the Service, you grant BevSync a limited, non-exclusive license to process, store, and display your Content solely for the purpose of providing the Service to you. This license terminates when you delete your account and your data is removed.
Imported data. When you import data from external sources (distributor price lists, POS systems, CSV/XLSX files), BevSync processes this data to provide its services but does not claim ownership of the source data.
9. Shared Catalog
The Shared Catalog is a platform-wide database of beverage brands, products, distributors, and wholesale pricing that is owned and maintained by BevSync. It is not owned by any individual Organization.
Users contribute to the Shared Catalog by importing distributor price lists. When you import pricing data, it may be normalized and added to the Shared Catalog to improve product matching and price comparison for all platform users. No individual Organization has ownership rights over Shared Catalog data.
You may use Shared Catalog data only within the Service. Extracting, scraping, or exporting Shared Catalog data for use outside BevSync is prohibited.
10. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Scrape, data-mine, or systematically extract data from the Service or Shared Catalog
- Reverse engineer, decompile, or disassemble any part of the Service
- Share your login credentials with others or allow shared account access
- Use automated tools or bots to access the Service without prior written permission
- Attempt to access another Organization's data or circumvent multi-tenancy isolation
- Use the Service for any illegal purpose, including violating applicable alcohol laws or regulations
- Upload false or misleading data to the Shared Catalog
- Circumvent subscription plan limits or feature restrictions
- Interfere with or disrupt the Service or its infrastructure
- Use Shared Catalog data outside the BevSync platform

11. POS Integration Terms
By connecting a point-of-sale system (Toast, Square, Clover, Aloha, or Omnivore), you authorize BevSync to access your sales transaction data on a read-only basis. Each POS connection requires your explicit authorization via OAuth or API credentials.
BevSync automatically strips personally identifiable information (PII) from POS sales data before storage. This includes customer names, email addresses, phone numbers, full payment card numbers, Social Security Numbers, IP addresses, physical addresses, and employee/server names. Only aggregated sales amounts, quantities, timestamps, and optional payment type summaries are retained.
POS data is used exclusively within your Organization's account for analytics, inventory reconciliation, and reporting. It is not shared with other Organizations or third parties.
Your use of third-party POS systems remains subject to those providers' own terms of service and privacy policies. You are responsible for ensuring your POS provider permits the data access you authorize through BevSync.
12. Third-Party Integrations Disclaimer
BevSync integrates with third-party services including POS providers and the Google Places API. These integrations are provided for your convenience.
BevSync is not responsible for the accuracy, completeness, or availability of data provided by third-party POS systems. Integration availability is not guaranteed — changes to third-party APIs, terms, or services may affect functionality at any time. BevSync will make reasonable efforts to maintain integrations but cannot guarantee uninterrupted access.
13. Data Accuracy Disclaimer
BevSync provides tools for inventory tracking, pour cost calculation, and financial analytics. All calculations, reports, and recommendations generated by the Service are based on data entered by you and your team, or imported from third-party sources you connect.
BevSync does not guarantee the accuracy of any inventory valuations, pour cost calculations, savings estimates, or financial projections. You are responsible for verifying the accuracy of data you enter and the decisions you make based on platform analytics. The Service is not a substitute for professional accounting, financial advisory, or legal counsel.
14. Termination & Suspension
Cancellation by you. You may cancel your Subscription at any time through your account settings. A 30-day grace period applies, during which your data is retained and your account remains accessible. You may reactivate during the grace period. If you are the Organization Owner, cancelling your account will also cancel the Organization. We recommend exporting your data before cancellation (see Section 15).
Account deletion. You may permanently delete your account via Settings > Security. Deletion requires email confirmation. When the Organization Owner deletes their account, the Organization is cancelled and all team member access is revoked. Your authentication record is permanently deleted.
Suspension or termination by BevSync. We reserve the right to suspend or terminate your access to the Service if we determine, in our reasonable judgment, that you have violated these Terms, engaged in fraudulent or harmful activity, or if required by law. We will attempt to notify you via email before or at the time of suspension, except where immediate action is necessary to protect the Service or other users.
15. Data Portability
You may export your Organization's data at any time via Settings > Data. Export is available in JSON and CSV formats and covers products, inventory, brand deals, sales, brands, locations, or a complete backup.
We strongly recommend exporting your data before cancelling or deleting your account. After the 30-day grace period ends, data deletion is permanent and cannot be reversed.
16. Warranty Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, BevSync does not warrant that:
- The Service will be available without interruption or error
- Any data, calculations, or reports generated will be accurate or complete
- The Service will meet your specific business requirements
- Defects will be corrected within any particular timeframe
The Service is a management and analytics tool. It is not a substitute for professional accounting, inventory auditing, or financial advisory services. You assume full responsibility for business decisions made based on data or recommendations provided by the Service.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEVSYNC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO BEVSYNC IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE PLAN USERS, THIS LIABILITY IS CAPPED AT $0.
IN NO EVENT SHALL BEVSYNC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
Without limiting the above, BevSync specifically excludes liability for losses arising from inventory or financial decisions made in reliance on data, reports, analytics, or recommendations generated by the Service.
18. Indemnification
You agree to indemnify, defend, and hold harmless BevSync and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your misuse of the Service
- Your violation of these Terms
- Claims by third parties related to data you entered, imported, or made available through the Service
- Your violation of any applicable law or regulation
19. Dispute Resolution
Governing law. These Terms and any disputes arising from or related to the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Informal resolution. Before initiating formal dispute resolution, you agree to contact us at support@bevsync.net and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration. If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall be conducted in English and the decision shall be final and binding.
Small claims exception. Either party may bring a claim in small claims court if the claim qualifies under that court's jurisdictional limits.
No class actions. All disputes must be brought in an individual capacity. You agree not to participate in any class action, class-wide arbitration, or representative proceeding against BevSync.
20. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, cyberattacks, pandemics, or failures of third-party service providers on which the Service depends. The affected party will make reasonable efforts to mitigate the impact and resume performance as soon as practicable.
21. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account and by updating the "Last updated" date on this page.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Service before they take effect.
